Terms of Use

1. Agreement

By accessing or using CorpTeam (the “Service”), you agree to these Terms of Use. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. The Service

CorpTeam provides collaboration, document, and related workflow features. Features may change over time. Some functions rely on third-party services (for example, DocuSign for electronic signatures). When you follow links to DocuSign or other providers, their terms and privacy policies apply to your use of those services.

3. Accounts and invitations

You may receive invitations to view or sign documents. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify your administrator or us if you believe an invitation was sent in error.

4. Acceptable use

You agree not to:

  • Violate applicable law or third-party rights;
  • Attempt to gain unauthorized access to the Service, other accounts, or underlying systems;
  • Introduce malware, overload infrastructure, or interfere with other users’ use;
  • Use the Service to transmit unlawful, defamatory, harassing, or infringing content;
  • Reverse engineer or circumvent security or usage limits except where prohibited by law.

5. Content and intellectual property

Your organization or licensors retain rights in content you or they upload. You grant us a limited license to host, process, and display that content as needed to operate the Service. CorpTeam’s name, branding, and software are protected by intellectual property laws.

6. Electronic signatures

When documents are sent for signature through DocuSign or similar services, the legal effect of those signatures depends on applicable law and the configuration chosen by the sender. CorpTeam is not responsible for the content of agreements you sign or for DocuSign’s operation.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CORPMTEAM OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID US.

9. Indemnity

To the extent permitted by law, you will indemnify and hold harmless CorpTeam and its personnel from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, your content, or your violation of these Terms.

10. Suspension and termination

We may suspend or terminate access to the Service for violation of these Terms, risk to the Service or other users, or as required by law. Provisions that by their nature should survive will survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts in Delaware (or another forum you and we agree in writing) have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.

Note: Replace the governing law and venue clause with advice from counsel if your entity is organized elsewhere or you need arbitration or a different forum.

12. Changes

We may modify these Terms by posting an updated version on this page. Material changes may be communicated through the Service or by email where appropriate. Continued use after the effective date of changes constitutes acceptance of the revised Terms.
